Terms and Conditions (the “Program Rules”)

1. THE PROGRAM PERIOD

The Program entry period commences on June 1, 2017 and concludes at 6:00 p.m. EST on July 31, 2017 (“Eligible Period”). 

2. ELIGIBILITY

The Program is open to all existing SOTI partners limited to all Resellers, Distributors and/or Managed Service Providers (“Partner”) that have no outstanding dues owed to SOTI (“Program Sponsor”) on the day of the announcement for the Grand Prize winners. Each Partner must have a valid agreement in place with the Program Sponsor and/or its affiliates.

To qualify, each Partner must sell net new business into either of the following territories: Mexico, Central and South America, Caribbean, Spain, Portugal and/or Italy. A sale must consist of eligible SOTI products. SOTI reserves the right to add or remove products and services from the eligible product list at any time during the Eligible Period.   Sales invoiced outside the Eligible Period do not qualify, even when those sales are delayed by product availability, invoicing processes or customer decision. The sale date is determined by the date printed on the Partner’s purchase order. Back orders and returns do not qualify. Sales invoiced to customers located outside the above-mentioned territories are not eligible under this Program.  Sales to other authorized SOTI Partners, brokers, or non-authorized partners are not eligible for Program awards, regardless of intended use of the sold product.

This Program is not a rebate program and awards are not intended to be used to reduce end-user price or to increase margin.  Any Partner claiming Program awards for this type of activity will be terminated from participation in the Program.

Employees of SOTI, and their immediate family and household members are not eligible to participate in this Program. 

Partners not abiding by the rules may be disqualified. In such case, the Program Sponsor is entitled not to award any of the Grand Prizes.

Note that this Program participation may be subject to SOTI’s sole approval and verification of participation eligibility.

3. HOW TO ENTER

To enter, Partners must sell a minimum of one hundred (100) MobiControl licenses (“Licenses”) to accumulate points. One (1) point shall be issued for every one hundred (100) net new Licenses which shall be calculated on an accumulative basis.

4. COMMUNICATION

Each Partner agrees to receive electronic communications for the purpose of providing information on the Program and associated Program promotions. These promotional communications are not to be confused with automatically generated electronic communications to confirm earning activities within the Program.

5. PRIVACY

SOTI and its affiliates respect your privacy and are committed to protecting it. SOTI provides this privacy statement to inform you of our privacy policy and practices and of the choices you can make about the way your information is collected online and how that information is used. 6. WINNER SELECTION

The winner will be determined on September 1, 2017 at approximately 10:00 a.m. EST. The top two winners of the Program will be selected based on the number of accumulated points. In the event of a tie, the winner will be chosen by the number of closed sales combined with the highest revenue obtained.

The two (2) winners will be contacted by a SOTI representative by no later than September 8, 2017 by telephone and/or email, as entered in Program Sponsor’s internal data base. Program Sponsor will pay for any shipping costs, customs and duties (if applicable) in the event that the Grand Prize(s) is to be mailed out to the Grand Prize winners. Potential Grand Prize winners may be found to be ineligible, decline to accept the Grand Prizes or who are unable to be contacted (including failing to return phone calls or emails) within two (2) business days after September, 8, 2017, the draw will forfeit the Grand Prize and another eligible Partner may be selected at Program Sponsors’ sole and exclusive discretion.

7. THE GRAND PRIZE AND GRAND PRIZE VALUE

Grand Prizes consist of two (2) prepaid Visa Cards. One prepaid Visa Card is valued at $2,000.00 USD which will be given to the Partner who accumulates the most amount of points within the said dates. The second Grand Prize is valued at $500.00 USD which will be given to the Partner who has generated the second highest amount of points within the said dates.   

Cash equivalent payment is not possible as a substitute.

8. PRIOR CANCELLATION OF THE GRAND PRIZE

Program Sponsor reserves the right, at its sole and exclusive discretion and without prior notice, to cancel or terminate the Grand Prizes in its entirety.

In the event of a cancellation or termination the Partner has no right to claim anything from the Program Sponsor, especially no rights to claim the prizes.

9. DEADLINE FOR CLAIMING THE GRAND PRIZE

Following confirmation as a Grand Prize winner in accordance with the Program Rules, the selected Partners will be given instructions and a deadline as to how they must claim their Grand Prize. Potential winners who fail either to claim the Grand Prize or to inform the Program Sponsor of his/her inability to claim the Grand Prize before the deadline, as instructed, will forfeit the Grand Prize and another eligible Partner may be selected at the Program Sponsors’ sole and exclusive discretion.

10. GRAND PRIZE CONDITIONS

All incidental costs and expenses not specifically referred to herein as part of the Grand Prize description, including but not limited to activation of device, monthly costs, and accessories are the sole responsibility of the Grand Prize winner. All Grand Prize elements are subject to availability and substitution. The Grand Prize winners shall not seek reimbursement for the expenses from the Program Sponsor. The Grand Prize winners will not be eligible for further draws. 

11. NO REPRESENTATIONS OR WARRANTIES

The Program Sponsor does not make any representation or offers any warranty, express or implied, as to the quality or fitness of the Grand Prize awarded in connection with the Program. Grand Prize winner(s) understand(s) and acknowledge(s) that he or she may not seek reimbursement or pursue any legal or equitable remedy from the Program Sponsor should the Grand Prize fail to be fit for its purpose or is in any way unsatisfactory to a Grand Prize winner.

12. DECLARATION AND RELEASE OF PRIZE WINNER

  • he or she has read, understood and accepted these Program Rules;

  • he or she understands that acceptance of the Grand Prize may involve danger and/or exposure to risks and hazards of both man-made and natural origin, whether arising from foreseeable or unforeseeable human error and negligence, and that, as a result, he or she may suffer damage to personal property, serious personal injury, illness or even death; and

  • he or she nevertheless freely and voluntarily agrees and does hereby assume any and all risks of personal injury, illness, death arising out of or connected with his or her participation in the Program and winning the Grand Prize.

13. PRIZE SUBSTITUTION 

Grand Prizes and prize portions are non-exchangeable, non-transferable, non-refundable, have no cash surrender value and must be accepted as awarded with no substitutions, except as may be decided by Program Sponsor in their sole and exclusive discretion. The Program Sponsor reserves the right, in its sole and exclusive discretion, to substitute and/or modify the Grand Prize, or prize portion, with (a) prize(s) of equal or greater value for any reason. Should a winner be unable to claim his/her Grand Prize or prize portion as awarded, his/her rights to the Grand Prize or prize portion will be forfeited.

14. TERMINATION / MODIFICATION

Subject to applicable law, the Program Sponsor reserves the right to cancel, suspend, terminate and/or modify the Program Rules or administration of the Program, in whole or in part, without prior notice, obligation or liability.

Neither SOTI, nor a Partner will incur liability to the other for claims arising solely out of the cancellation of this Program. Except as provided in this document, all other terms of any agreements that SOTI Partner may have with SOTI shall remain in full force and effect.

15. OWNERSHIP OF ENTRIES

All entries shall become the property of Program Sponsor. Program Sponsor assumes no responsibility for lost, stolen, destroyed or otherwise indecipherable entries due to any failure or technical malfunction of the telephone network, on-line computer systems of equipment, servers, access providers, software, poor reception, technical problems, and failure of any email or submission or due to any other reason regardless of cause.

Aside from information collected with Partner’s consent, Program Sponsor will not be collecting any personal information in connection with the Grand Prizes.

16. PUBLICITY

By entering the Program, each entrant consents to the use of his or her name, city of residence, photograph, voice, likeness, image or any other aspect of his or her personality for any publicity and programming purposes, commercial or otherwise, throughout the world, in all media, in perpetuity, by the Program Sponsor, promoters and their advertising and promotional agencies, without any payment or compensation. 

17. CONSENT TO COLLECTION AND USE OF PERSONAL INFORMATION

By entering the Program and voluntarily providing personal information including, but not limited to, name, address, city, email address, home and office telephone numbers (the “Registrant Information”), each Program entrant grants permission to the Program Sponsors to collect and use of the Registrant Information for the exclusive purpose of administering the Program, selecting the Grand Prize winner(s) and to receive additional information surrounding SOTI’s partner programs and benefits. 

18. TAMPERING

If for any reason the Program is not capable of running as planned, including due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the reasonable control of the Program Sponsors that corrupts, impairs or affects the administration, security, fairness, integrity, or proper conduct of this Program,  the Program Sponsors reserve the right, at their sole and exclusive discretion, to cancel, terminate, modify, extend or suspend the Program and/or Grand Prize.  The Program Sponsors further reserve the right to disqualify, from this Program and future Programs of the Program Sponsors, any individual who tampers with or in any way corrupts the entry process.  The Program Sponsors may prohibit an entrant from participating in the Program, future Programs of the Program Sponsors and/or winning a prize(s) if, in the Program Sponsors’ sole and exclusive discretion, the Program Sponsors determine that said entrant is attempting to undermine the legitimate operation of the Program by cheating, hacking, deception, or any unlawful or unfair playing practices relating to the Program (including but not limited to the use of automated quick entry programs), prize(s), or intending to annoy, abuse, threaten or harass any other Partners or the Program Sponsors representatives. Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the Program may be in violation of criminal and civil laws and should such an attempt be made, the Program Sponsors reserve the right to seek remedies and damages (including lawyers’ fees) from any such entrant or any other individual to the fullest extent permitted by law, including criminal prosecution.

19. LIMITATION OF LIABILITY

By entering the Program, the entrant agrees that the Program Sponsor has no liability and shall be held harmless by the entrant for any damage, loss or liability to person or property, due in whole or in part, directly or indirectly, by reason of entering the Program, the acceptance, possession, use, enjoyment or misuse of the Grand Prizes, or while preparing for, participating in any Program-related or Grand Prize-related activity.  The Program Sponsor is not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, incomplete, garbled or delayed computer transmissions, whether caused by any of the Program Sponsor, users or by any of the equipment or programming associated with or utilized in the Program or by any technical or human error which may occur in the processing of submissions that may cause damage to a user’s system or limit an potential entrant’s ability to participate in the Program.

21. COMPLIANCE WITH PROGRAM RULES

All Partners agree to abide by the Program Rules, which are subject to change at the sole and exclusive discretion of the Program Sponsors.

22. MISCELLANEOUS

If SOTI determines that a sale by a Partner is fraudulent, SOTI at its own sole and exclusive discretion may:

     a. Terminate the participation of the Partner in the Program;

     b. Require to refund or forfeit any Program payments paid and/or accrued during the scope of the breach period; 

     c. Impose applicable monetary penalties for any breach; and/or

     d. Required the Partner to reimburse SOTI for all reasonable attorney fees associated with enforcing these provisions.

SOTI reserves the right to audit any Partner’s participation in this Program upon notice. SOTI Partner shall cooperate with such audit request(s).

23. COMPLIANCE WITH LAWS

This Program shall be governed by and construed under the laws of the Province of Ontario, Canada. Each Party irrevocably waives any objection on the grounds of venue, forum non-conveniens or any similar grounds and irrevocably consents to the service of process by mail or in any manner permitted by applicable law and consents to the jurisdiction of the courts of the Province of Ontario, Canada. The Parties further hereby waive any right to a trial by jury with respect to any lawsuit or judicial proceeding arising or relating to this Program.  

21. COMPLIANCE WITH PROGRAM RULES

All Partners agree to abide by the Program Rules, which are subject to change at the sole and exclusive discretion of the Program Sponsors.
